Call for Nominations for NIDA Treasurer and Secretary
The NIDA Nominating Committee seeks your nominations and self-nominations for two Board Director positions of Treasurer and Secretary who will begin their terms after the NIDA Virtual AGA on January 13, 2022. The Treasurer and Secretary serve a two-year term, renewable to a maximum of two consecutive two-year terms, or six years.
With full voting rights on the Board, these positions are among the most important in NIDA; the other officers are the Chair and Vice Chair. These positions do require a willingness to serve NIDA at a high level, and skills specific to each. Both positions are supported by NIDA staff. NIDA Board Director positions are voluntary and Directors should be available for once-a-month Board calls and one in-person meeting a year.
The Treasurer has full voting rights on the NIDA Board. The Treasurer oversees the financial matters of NIDA in line with good practices. The treasurer ensures that effective financial measures, controls and procedures are put in place, and are appropriate for NIDA. The Treasurer reports on the current financial position of NIDA on a quarterly basis on Board conference calls or in-person meetings. The Treasurer ensures that proper accounts and records are kept in line with the charity’s policies, good governance, legal and regulatory requirements. The Treasurer will be aware of CRA policies/regulatory requirements with respect to financial compliance.
The Secretary has full voting rights on the NIDA Board. The secretary should be knowledgeable of the organization’s records and related materials, and should be able to provide advice and resources to the board on relevant topics at issue, such as particular governance matters being addressed at a meeting. The secretary is responsible for assisting NIDA staff with the scheduling of board meetings and will ensure an adequate number of meetings are held per year, in accordance with the organization’s bylaws. The secretary is responsible for assisting NIDA staff with recording minutes of meetings, and for ensuring that accurate minutes of meetings are taken and approved. The secretary is responsible for assisting NIDA staff with maintaining accurate documentation and meeting legal requirements, such as annual filing deadlines. The Secretary ensures that proper notification is given of directors’ and members’ meetings as specified in the bylaws.
